Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GetAdly service, which provides an AI-powered virtual marketing assistant that creates and publishes social media content (the "Service"). By accessing or using our Service (including our website), you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

Please also review our Privacy Policy to understand how we collect and use your information. Your acceptance of these Terms also signifies your acceptance of the Privacy Policy.

1. The Service and Usage

Description

GetAdly is an AI-driven service that acts as a social media agency replacement. It can generate marketing content such as social media posts, images, designs, and content strategies based on the information and requests you provide. The Service can also, with your authorization, publish content directly to your social media accounts (e.g., Facebook Pages and Instagram Business accounts). Note: GetAdly publishes organic posts to your social media pages; it does not create or manage paid advertising campaigns on Facebook Ads Manager or Instagram Ads.

Accessing the Service

You can access the Service through our website by creating an account with your email address. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Do not share your account credentials with unauthorized persons, as any actions taken via your account will be presumed to be by you.

Account Information

You agree to provide accurate and complete information during onboarding (such as your business name, industry, logo, etc., as requested). You are responsible for keeping your information up to date by communicating any changes to us.

Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement. The Service is intended for business use by adults; we do not allow children to use the Service.

2. User Content and Intellectual Property

Your Inputs

You may provide content to the Service, including text, images, logos, and other materials ("User Content"), in order for the AI to generate marketing content. You retain ownership of all intellectual property rights in the User Content you provide. By submitting User Content, you grant GetAdly a limited license to use, reproduce, modify, and process that content for the purpose of providing the Service (for example, to create designs or posts based on your input). We will not use your User Content for any purpose outside the scope of delivering and improving the Service, in accordance with our Privacy Policy.

Generated Outputs

The Service will produce AI-generated content ("Output") such as text, images, or campaign materials based on your inputs. GetAdly does not claim ownership of the Output it generates for you. As between you and GetAdly, and to the extent permitted by law, you have the right to use, edit, publish, distribute, or otherwise utilize the AI-generated Output for your own legitimate purposes. However, you acknowledge that AI-generated content may not be subject to traditional intellectual property protections or may include elements (like stock images or templates) that are licensed. It is your responsibility to review the Output and determine if it is suitable and permissible for your intended use.

Service Intellectual Property

All rights, title, and interest in and to the Service itself (including the software, algorithms, models, website content, trademarks, and branding of GetAdly) are owned by GetAdly or its licensors. We only grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not duplicate, distribute, modify, create derivative works from, or reverse-engineer any part of the Service, except as authorized by us in writing.

Third-Party Content and Integrations

In the course of providing content, the Service might utilize third-party content or APIs (for example, posting to Facebook or using design templates). All third-party platforms (such as Facebook and Instagram) and their content are subject to their own terms and intellectual property rules. These Terms do not grant you any rights to third-party trademarks or content. You are responsible for complying with the terms of use of any third-party platforms you engage with through our Service, including Facebook's Terms of Service, Community Standards, and Platform Policy, as well as Instagram's Terms of Use and Community Guidelines.

User Content Warranty

By providing any User Content, you represent and warrant that you have all necessary rights and permissions to provide that content to us and to use it with the Service. This means, for example, that if you upload an image for editing or inclusion in a design, you either own that image or have obtained permission to use it. You also promise that your User Content, and our use of it as permitted by you, will not infringe or violate the rights of any third party (including intellectual property rights and privacy rights) or any applicable laws.

We are committed to maintaining a respectful, lawful, and safe environment for all users. When using GetAdly, you agree to the following acceptable use conditions and acknowledge that any violation may result in suspension or termination of your access:

4. Subscription, Fees, and Payments

Subscription Model

GetAdly operates on a subscription basis. By subscribing to our Service, you agree to pay the periodic fees associated with the plan you select. All fees are listed in New Israeli Shekels (₪) unless stated otherwise, and are charged on a monthly basis (or annually, if you choose an annual plan).

Credits and Usage Limits

Each subscription plan may allocate a certain number of content pieces or "credits" per billing cycle (e.g., a limit on the number of images, videos, or posts that can be generated per month). These limits will be clearly communicated in the plan details. Unused credits typically expire at the end of each billing cycle and do not roll over to the next period, unless explicitly stated otherwise for your plan.

Billing and Payment

You must provide a valid payment method (such as credit card or other payment details) to subscribe. By subscribing, you authorize us or our payment processor to charge the applicable subscription fee to your payment method on a recurring basis (e.g., monthly or annually, depending on your plan). Unless you cancel, your subscription will auto-renew at the end of each billing cycle, and you will be charged in advance for the next cycle. If a payment fails, we may attempt to re-charge after a short period or suspend your access until payment is resolved.

Refund Policy

7-Day Money-Back Guarantee: If you are a new subscriber, we offer a refund/cancellation window in the first 7 days of your initial subscription. If you decide within the first 7 days that the Service does not meet your needs, you may cancel your subscription and request a refund of your first subscription fee. To do so, you must contact us at [email protected] within 7 days of your purchase. After this 7-day period, all payments are generally non-refundable, except where required by law or at our discretion in extraordinary cases.

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. This means you will retain access to the Service and any remaining credits until the end of the period you already paid for, after which your subscription will not renew. We do not typically offer prorated refunds for mid-period cancellations beyond the initial 7-day money-back period. To cancel, you can contact us or use any self-service cancellation mechanism we provide.

Changes in Fees

Our subscription fees may change over time. Any fee changes will be communicated to you in advance (for example, via email or a notice on our site or service). Fee changes will not apply retroactively and will only apply to billing cycles after the change becomes effective. If you do not agree to a fee change, you may cancel your subscription before the new rate takes effect.

5. Termination of Service

By the User

You are free to stop using GetAdly at any time. You may also delete your account if you no longer wish to use the Service. When you delete your account, your subscription will be cancelled immediately (no refunds will be issued), and your account will be scheduled for permanent deletion after a 30-day grace period. During this 30-day period, you can contact us to restore your account if you change your mind. After 30 days, all data will be permanently removed and cannot be recovered. If you wish for us to delete your data, please refer to the Privacy Policy for data deletion requests.

We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, with or without notice, if we reasonably believe: (a) you have violated these Terms (or any applicable law or regulation); (b) you are using the Service in a manner that could cause us legal liability or disrupt others' use of the Service; or (c) we need to do so to protect the security or integrity of the Service or our infrastructure.

In addition, if at any point we decide to discontinue the Service or a particular feature, we may terminate the Terms with respect to all users. If feasible, we will provide advance notice of a broad service discontinuation.

Effect of Termination

Upon termination or expiration of your access, your right to use the Service will immediately cease. We may deactivate or delete your account and all associated data (including content, outputs, or settings) from our systems, in accordance with our data retention practices. We are not liable to you or any third party for termination of your access or deletion of your account or data, provided we have adhered to our Privacy Policy and these Terms. If we terminate your account due to a violation of these Terms, you will not be entitled to any refunds for any subscriptions or unused credits.

6. Disclaimer of Warranties

Service Provided "As Is"

GetAdly provides the Service on an "as is" and "as available" basis. While we strive to offer the best possible experience, we cannot guarantee that the Service will be uninterrupted, error-free, or meet all of your expectations. The nature of AI-generated content means results may vary and may occasionally be imperfect or require human review.

No Guarantee of Results

You understand that any content, designs, or campaigns generated by the Service are suggestions and tools to aid your marketing. We do not guarantee any particular outcome in your business metrics (such as specific increases in sales or engagement) as a result of using the Service. You are responsible for reviewing and deciding how to use the content we provide. Use your judgment, and consider the context and accuracy of any AI-generated text or images before publishing them as part of your official marketing.

No Other Warranties

To the fullest extent permitted by law, GetAdly disclaims all warranties and representations of any kind, whether express, implied, or statutory, including but not limited to any warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. No advice or information, whether oral or written, obtained from GetAdly or through the Service, shall create any warranty not expressly stated in these Terms.

Third-Party Services

Any third-party platforms or services that you use in connection with GetAdly (such as Facebook or Instagram) are not under our control, and we make no warranties or representations regarding those services. Your use of third-party services is subject to the terms and policies of those providers. We are not responsible for any acts or omissions of third-party platforms, even if our Service facilitates interactions with them.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall GetAdly or its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, business interruption, loss of data, or loss of goodwill, arising out of or in connection with your access to or use of (or inability to use) the Service or any content provided through the Service. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damages.

To the extent that we may be found liable for any damages notwithstanding the foregoing, our total cumulative liability to you for any claim arising from or related to these Terms or the Service is limited to the amount you have paid to GetAdly in the twelve (12) months immediately preceding the event giving rise to the claim (or, if you have not paid anything, then $0).

Some jurisdictions do not allow certain limitations of liability or exclusion of certain damages, so some of the above disclaimers or limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless GetAdly and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise from or relate to: (a) your use or misuse of the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your infringement or violation of any rights of a third party (including intellectual property rights or privacy rights) through your content or marketing activities conducted via the Service; or (d) any content you generate or publish using our Service (including any claims that such content is unlawful, misleading, or defamatory). We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you (in which case you agree to cooperate with us in asserting any available defenses). This indemnification obligation will survive any termination of your account or this agreement.

9. Miscellaneous

Not an Official Facebook Service

GetAdly is not affiliated with, endorsed by, or officially connected to Facebook, Meta, or any other third-party social media platform. While our Service may interact with Facebook's or others' systems (e.g., to post content), all content is provided by GetAdly or by users, not by those third-party platforms. Facebook and other platforms bear no responsibility for the content generated or published through our Service. You must comply with all third-party platform rules, as noted, and any issues or disputes related to content created by GetAdly should be addressed with us, not with Facebook/Meta.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

Dispute Resolution

In the event of any dispute or claim arising out of or relating to these Terms or your use of the Service, you and GetAdly agree to first attempt to resolve the issue informally by contacting each other (you can reach us at the contact information below). If we cannot resolve the dispute informally, any legal action or proceeding shall be brought exclusively in the competent courts located in Tel Aviv, Israel (unless another location is required by law), and the parties consent to the personal jurisdiction of such courts.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of the remaining provisions, which will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of GetAdly.

Entire Agreement

These Terms (together with the Privacy Policy and any additional guidelines or policies we provide) constitute the entire agreement between you and GetAdly regarding the Service and supersede any prior agreements or understandings (whether oral or written) relating to the subject matter hereof.

Assignment

You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. We may assign these Terms as part of a merger, acquisition, sale of assets, or by operation of law, or to any affiliate, without any consent or notice to you.

Changes to Terms

We may update or modify these Terms from time to time. If we make material changes, we will notify users via the Service interface, website, or email and update the "Effective Date" at the top. By continuing to use the Service after any changes become effective, you agree to be bound by the updated Terms. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect.
